Terms & Conditions (AGB) – MasterPulse
These Terms & Conditions govern all services provided by MasterPulse – Professional Audio Mastering & Release Services, operated by Daniel Schwarzwälder, CEO & Audio Engineer, Storchengasse 46, 67435 Neustadt an der Weinstraße, Germany.
By commissioning MasterPulse, the client (“you”, “the customer”) agrees to the following terms.
1. Scope of Services
MasterPulse provides professional audio services including, but not limited to:
• Audio mastering
• Stem mastering
• Sound design and creative finishing
• Mix optimization
• Release preparation and metadata handling
• Digital distribution for third‑party artists
The exact scope of work is defined individually for each project.
This follows standard industry practice for audio‑service agreements, where scope and deliverables must be clearly defined to avoid misunderstandings .
2. Project Requirements
Before work begins, the client must provide:
• Final audio files in the agreed format
• Project notes, references, or instructions
• Correct metadata (artist name, track titles, ISRCs, artwork, etc.)
• A valid download link for all files (WeTransfer, Dropbox, Google Drive, etc.)
MasterPulse is not responsible for errors caused by incomplete or incorrect information.
3. Revisions
Each project includes one revision round unless otherwise agreed.
Additional revisions may incur extra fees.
Revisions must be requested within 7 days after delivery of the master.
4. Delivery
Final masters are delivered in the formats agreed upon (e.g., WAV, MP3, AAC, DDP).
Delivery times vary depending on project size and workload.
MasterPulse is not liable for delays caused by third‑party platforms (DSPs, distributors, upload services).
5. Payment Terms
All prices are provided individually upon request.
Payment is due upon receipt of invoice unless otherwise agreed.
For larger projects (EPs, albums, label packages), a deposit may be required.
This is consistent with common mixing/mastering contract structures that define payment schedules and milestones .
Work begins only after payment is confirmed.
6. Refund Policy
Due to the nature of digital audio services, no refunds are offered once work has begun or files have been delivered.
If a technical issue occurs on our side, MasterPulse will correct it at no additional cost.
7. Copyright & Usage Rights
The client retains full copyright to their original audio material.
MasterPulse retains the right to:
• Store project files for internal backup
• Use short audio excerpts for portfolio or promotional purposes (only with client permission)
Final masters may not be altered, remixed, or redistributed without the client’s consent.
This aligns with standard audio‑service agreements that clarify ownership and usage rights for both parties .
8. Distribution Services (Artist Release)
If the client uses MasterPulse’s distribution service:
• The client must provide correct metadata and artwork
• MasterPulse delivers the release to the selected DSPs
• Release dates depend on DSP processing times
• Royalties are handled according to the agreement between client and distributor
MasterPulse is not responsible for DSP delays, takedowns, or platform‑specific technical issues.
9. Liability
MasterPulse is not liable for:
• Loss of data caused by third‑party services
• Misuse of delivered files by the client or third parties
• Damages resulting from incorrect metadata or artwork provided by the client
• Platform‑related issues (Spotify, Apple Music, Beatport, etc.)
Liability is limited to the amount paid for the specific project.
10. Confidentiality
All client information, audio files, and project details are treated as confidential and will not be shared with third parties except where necessary to complete the service (e.g., distribution partners).
11. Data Protection
Personal data is processed in accordance with our Privacy Policy.
12. Governing Law
These Terms & Conditions are governed by the laws of the Federal Republic of Germany.
Place of jurisdiction is Neustadt an der Weinstraße, Germany.
13. Changes to These Terms
MasterPulse reserves the right to update these Terms & Conditions at any time.
The version published on the website at the time of commissioning applies.
